Terms of Use

FoundationStone is provided by Altomi Pty Ltd, ABN 15 660 039 252, ACN 660 039 252 ("we", "us" or "our").
These Terms govern your access to and use of FoundationStone.
By creating an account, starting a trial, subscribing or using FoundationStone, you agree to these Terms.
If you use FoundationStone on behalf of an organisation, you confirm that you have authority to accept these Terms for that organisation.
FoundationStone
FoundationStone is browser-based business software designed to help businesses understand costs, set prices, prepare quotes, track work and review results.
FoundationStone supports business decisions but does not replace your own judgement or professional accounting, taxation, legal, financial or other advice where that advice is required.
You remain responsible for reviewing information entered into FoundationStone and decisions made using its outputs.
Accounts And Users
You must provide accurate account and organisation information and keep login details secure.
You are responsible for:
- Giving access only to authorised users
- Giving users appropriate permissions
- Removing access when it is no longer required
- Promptly notifying us if you suspect unauthorised access
Organisation administrators may manage users, permissions, records and account settings.
We may reasonably rely on instructions from an authorised account owner or administrator unless we reasonably believe the instruction is unauthorised, unlawful or the result of account compromise.
Trials And Subscriptions
FoundationStone may offer free trials, monthly subscriptions or other plans described on our Pricing page or agreed with you directly.
Trials do not automatically convert to paid subscriptions.
Paid subscriptions may be offered on a monthly basis with no minimum contract period.
Prices are stated in Australian dollars and are inclusive of GST unless stated otherwise.
Billing And Payments
Subscription fees are normally billed in advance.
Where recurring billing applies, you authorise us or our payment provider to charge your nominated payment method at the beginning of each billing period until you cancel.
If a payment fails, we may retry the payment, contact you or temporarily suspend paid access.
Where practicable, we will give you a reasonable opportunity to correct a payment problem before suspending an established account.
Price Changes
We may change subscription prices from time to time.
Changes will not retrospectively affect a billing period you have already paid for.
We will provide reasonable notice of a price increase for existing subscribers. If you do not wish to continue at the new price, you may cancel before the new price takes effect.
Cancellation And Refunds
You may cancel your subscription at any time by contacting us.
Unless otherwise agreed, cancellation takes effect at the end of the billing period already paid for.
Where no legal right to a refund applies, fees already paid are generally not refundable simply because you change your mind, stop using FoundationStone or fail to cancel before a clearly disclosed renewal date.
Nothing in these Terms limits any refund or remedy you are entitled to under the Australian Consumer Law.
Your Data
You retain ownership of the business information and records you enter into FoundationStone.
You give us permission to store, process, transmit and back up that information as reasonably necessary to provide, secure and support FoundationStone.
You are responsible for ensuring that:
- You have the right to enter information into FoundationStone
- Personal information has been collected and used lawfully
- Users only access information they are authorised to access
- Information entered into FoundationStone does not infringe another person's rights
Our handling of personal information is also governed by our Privacy Policy.
Sensitive And Prohibited Information
FoundationStone is not designed to store sensitive personal information.
Unless we have expressly agreed otherwise, you must not intentionally store:
- Health information
- Racial or ethnic information
- Political or religious information
- Trade union membership
- Criminal records
- Biometric information
- Tax File Numbers
- Payment card security codes
- Passwords for third-party systems
- Other highly sensitive credentials or security information
We may remove or restrict access to prohibited information where reasonably necessary for privacy, security or legal compliance.
Data Export And Account Closure
You should maintain copies of records you are independently required to keep for accounting, taxation, audit, project or regulatory purposes.
Before closing an account, you should retain copies of any information you need to keep.
After an account closes, customer data may be retained for a limited period before being deleted from active systems, unless it is required to be retained for legal, accounting, security or dispute-resolution purposes.
Deleted information may remain in secured backups until those backups are overwritten through normal processes.
Security
We take reasonable technical and organisational measures to protect FoundationStone and customer data.
You remain responsible for security matters under your control, including users, devices, login credentials and access permissions.
No online system can guarantee absolute security.
If you become aware of unauthorised access or another security issue affecting your account, you must contact us promptly.
Acceptable Use
You must not:
- Use FoundationStone unlawfully
- Access data you are not authorised to access
- Bypass or attempt to defeat security controls
- Introduce malicious software
- Deliberately interfere with the service
- Use FoundationStone to facilitate fraud or unlawful activity
- Place an unreasonable automated load on the service
- Attempt to obtain our source code except where permitted by law
- Copy, resell or commercially exploit FoundationStone except as authorised by us or permitted by law
We may restrict or suspend access where reasonably necessary to protect FoundationStone, its users or legal compliance.
Availability And Changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free access.
Maintenance, updates, internet failures, cloud infrastructure problems, third-party outages, security incidents or events outside our reasonable control may affect availability.
FoundationStone will change over time. We may add, improve, replace or remove features.
We will not deliberately make a material reduction to core paid functionality during a billing period without a legitimate reason.
Where a planned change materially reduces important paid functionality, we will provide reasonable notice where practicable.
Support
Support is available through email, in-product support and phone.
Unless a separate service level has been agreed, support does not include guaranteed response or resolution times.
We will make reasonable efforts to respond according to the urgency and impact of the issue.
Third-Party Services
FoundationStone uses third-party services to operate and support the platform, including hosting, communications, security and other technology services.
These services may be affected by events outside our reasonable control.
We are not responsible for independent third-party services outside our reasonable control, but this does not exclude responsibility we may have under applicable law for the way we select, configure or use those services.
Intellectual Property
We own or license the intellectual property in FoundationStone, including its software, source code, workflows, designs, interfaces, documentation, website content and branding.
These Terms give you the right to use FoundationStone for your internal business purposes while your account remains active.
You do not acquire ownership of FoundationStone or our intellectual property.
Your own business information and customer data remain yours.
Confidentiality
Each party may receive confidential information belonging to the other.
Confidential information must be kept reasonably secure and used only for purposes connected with FoundationStone or the relationship between the parties.
We may provide access to confidential information to employees, contractors and service providers who reasonably need it to provide FoundationStone and who are subject to appropriate confidentiality obligations.
These obligations do not apply to information that is already public, was already lawfully known to the receiving party, is received independently from another lawful source, or is required to be disclosed by law.
Feedback And De-Identified Information
If you provide suggestions or feedback, we may use them to improve FoundationStone without payment or other obligation to you.
We may also use aggregated or de-identified information about how FoundationStone is used to understand performance, diagnose problems and improve the service.
We do not acquire ownership of your identifiable business data and do not sell identifiable customer data.
Calculations, Outputs And Business Decisions
FoundationStone calculates and displays information based on the inputs, assumptions and settings provided by users.
The accuracy and usefulness of those outputs depend on the quality and completeness of the information entered.
You are responsible for reviewing and confirming costs, labour rates, overheads, supplier information, pricing assumptions, margins, tax treatment, quotes and other business information.
FoundationStone is designed to support business decisions but does not guarantee that a particular price, quote or piece of work will be profitable or achieve a particular financial result.
Actual results can be affected by changes in costs, productivity, scope, timing, customer behaviour and other business conditions.
You remain responsible for the prices you charge, quotes you issue and business decisions you make.
FoundationStone does not provide professional accounting, taxation, financial, legal or other regulated advice.
Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.
Businesses may also qualify as consumers under the Australian Consumer Law.
Where a consumer guarantee applies, you are entitled to the rights and remedies provided by law.
Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
Where Australian Consumer Law permits liability for business services to be limited, our liability may be limited, where fair and reasonable, to supplying the affected service again or paying the reasonable cost of having it supplied again.
To the maximum extent otherwise permitted by law, neither party is liable for indirect or consequential loss that was not reasonably foreseeable.
We are not responsible for loss to the extent caused by incorrect or incomplete information entered by you, unauthorised activity resulting from your failure to reasonably protect account access, or third-party systems outside our reasonable control, except to the extent that we caused or contributed to the loss.
Indemnity
You indemnify us against reasonable losses and costs arising from third-party claims, to the extent caused by:
- Your unlawful use of FoundationStone
- Customer data you did not have the right to collect or use
- Your material breach of these Terms
- Your infringement of another person's legal rights
- Fraudulent or deliberately wrongful conduct by you or your authorised users
This indemnity does not apply to the extent that the claim, loss or cost was caused or contributed to by our breach, negligence, unlawful conduct or wilful misconduct.
Suspension And Termination
We may suspend or terminate access where reasonably necessary because:
- Fees remain materially overdue
- An account has been compromised
- Continued access creates a serious security risk
- FoundationStone is being seriously or repeatedly misused
- Use is unlawful
- Suspension or termination is required by law
Where practicable, we will provide reasonable notice and an opportunity to fix the issue before suspending or terminating an account.
We may act immediately where necessary for serious security or legal reasons.
We will not suspend or terminate an account arbitrarily.
Discontinuing FoundationStone
If we permanently discontinue FoundationStone, we will provide reasonable advance notice to affected customers where practicable.
We will also provide a reasonable opportunity to retrieve or export customer data before the service is discontinued.
If we discontinue the paid service before the end of a period you have already paid for, we will refund the unused portion of prepaid fees unless another arrangement has been agreed or the discontinuation results from your breach of these Terms.
Changes To These Terms
We may update these Terms where reasonably necessary to reflect changes to FoundationStone, our business, security requirements or applicable law.
We will not retrospectively change fees or materially remove rights relating to a period you have already paid for.
Where a change materially affects your rights or obligations, we will provide reasonable notice where practicable.
If you do not agree to a material change, you may stop using FoundationStone or cancel your subscription before the change takes effect.
Governing Law
These Terms are governed by the laws of South Australia and applicable Commonwealth laws.
The parties submit to the non-exclusive jurisdiction of courts having jurisdiction in South Australia.
Nothing in this section limits rights that cannot lawfully be excluded.
